Parties and agreement

These Terms of Use ("Terms") are between you — the individual or entity accessing or using Goldfinch's free analysis tools ("you" or "your") — and Goldfinch Economics, LLC, a Texas limited liability company ("Goldfinch," "we," "us," or "our").

By accessing or using the Agent Cost Grader, the Policy Grader, or any other free analysis tool, report, score, or output provided by Goldfinch (collectively, the "Tools"), you agree to be bound by these Terms. If you do not agree, do not use the Tools.

If you are using the Tools on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" refers to that entity.

What the tools provide

The Tools allow you to input information about your AI agent architecture, model selection, task volume, and operational policies in order to generate illustrative cost estimates, scenario bands, risk scores, and cost-reduction recommendations for pre-deployment planning purposes.

Outputs may include: cost-per-task estimates across conservative, baseline, and optimized scenarios; a budget envelope recommendation; an Agentic Resource Exhaustion (ARE) risk classification; a Shift-Left Costing readiness score; and a set of recommended policy actions with projected savings ranges.

All outputs are estimates produced from published provider pricing data and generalized agent-type benchmarks as of the date noted in the output. They are intended to support planning conversations — not to serve as a binding forecast, a guarantee of savings, or a substitute for professional financial, legal, or technical advice.

Your data

To use the Tools, you may provide architectural and operational inputs (agent type, task volume, model selection, caching policy, and similar parameters), an email address, and optionally a company name (collectively, "Your Data").

We will use Your Data only for the purpose of generating and delivering your analysis output, improving the accuracy of our Tools, and — where you have opted in — communicating with you about Goldfinch products and updates. We will not sell Your Data or share it with third parties for their own marketing purposes.

Our full data handling practices are described in our Privacy Policy, which is incorporated into these Terms by reference.

Confidentiality

In connection with your use of the Tools, each party may have access to information that is non-public or proprietary to the other ("Confidential Information"). Each party agrees to hold the other's Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information of a similar nature, and no less than a reasonable degree of care.

Neither party will disclose the other's Confidential Information to third parties without prior written consent, except as required by law or to that party's employees, contractors, or advisors who have a need to know and are bound by substantially similar confidentiality obligations.

Confidential Information does not include information that: (a) is or becomes publicly known through no breach of these Terms; (b) was rightfully known before disclosure; (c) is independently developed without use of the other party's Confidential Information; or (d) is required to be disclosed by law or court order, provided the disclosing party gives the other party reasonable advance notice where permitted.

No charge; no obligation

The Tools are provided to you at no charge. You will not incur any fees for generating an analysis, receiving a report, or downloading an output.

Use of the Tools does not obligate you to purchase any Goldfinch product or service. If you subsequently decide to engage Goldfinch for paid services, that engagement will be governed by a separate written agreement.

Intellectual property

Goldfinch owns and retains all right, title, and interest — including all intellectual property rights — in and to the Tools, the scoring models, the benchmarks, the methodology, and any improvements, modifications, or enhancements to them. Nothing in these Terms transfers any ownership interest in the Tools to you.

You retain ownership of Your Data. By using the Tools, you grant Goldfinch a limited, non-exclusive license to process Your Data for the purposes described in Section 3.

You may share your analysis output — including your cost estimate report and scores — for internal business purposes, including sharing with your finance, product, or engineering teams. You may not reproduce, sell, license, or distribute Goldfinch's Tools, scoring methodology, benchmarks, or proprietary content without our prior written consent.

No warranty

The Tools are provided on an "as is" and "as available" basis. Goldfinch makes no representations or warranties — express, implied, statutory, or otherwise — regarding the Tools or any outputs generated by them.

Limitation of liability

To the fullest extent permitted by applicable law, Goldfinch's total liability to you for any claims arising out of or related to these Terms or your use of the Tools shall not exceed one hundred US dollars ($100).

Not financial or professional advice

Outputs from the Tools — including cost estimates, scenario bands, risk scores, readiness scores, and recommended actions — are illustrative planning aids. They are not financial advice, legal advice, accounting advice, or investment advice.

Goldfinch is not a registered investment adviser, financial planner, attorney, or accountant. Nothing in the Tools or their outputs should be relied upon as a substitute for qualified professional advice tailored to your specific circumstances.

Budget decisions, vendor selections, architectural commitments, and other consequential decisions should be made with appropriate professional counsel and your own independent analysis of current provider pricing and your organization's actual usage patterns.

Governing law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles. Any disputes arising out of or related to these Terms or your use of the Tools shall be subject to the exclusive jurisdiction of the state and federal courts located in Texas, and you consent to personal jurisdiction in those courts.

Authority to agree

By using the Tools, you represent and warrant that: (a) if agreeing on your own behalf, you have the legal capacity to enter into binding contracts under applicable law; or (b) if agreeing on behalf of a company or other legal entity, you have the legal authority to bind that entity to these Terms, and the entity agrees to be bound.

Entire agreement

These Terms, together with the Privacy Policy, constitute the complete and exclusive agreement between you and Goldfinch regarding your use of the free Tools and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, relating to that subject matter.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Goldfinch's failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

Goldfinch may update these Terms from time to time. Material changes will be noted by updating the "Last updated" date below. Continued use of the Tools after a change constitutes acceptance of the revised Terms.
